CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT
AND BETWEEN
This Confidentiality and Non-Disclosure Agreement (the “Agreement”) is entered into on this 12th day of January, 2026.
The Disclosing Party and the Receiving Party are hereinafter collectively referred to as the “Parties” and individually as a “Party”.
Ram Bahadur, residing at Kirtipur-9, Kathmandu with citizenship number _____________________ (hereinafter referred to as the “Receiving Party” or the “Employee”), which expression shall include their heirs, representatives, and permitted assigns.
Peridot Private Limited, a company registered under the laws of Nepal, having its registered office at Pulchowk, Kathmandu, Nepal (hereinafter referred to as the “Company” or the “Disclosing Party”), which expression shall include its successors and assigns;
1. PURPOSE
The Disclosing Party agrees to disclose certain Confidential Information to the Receiving Party solely for employment-related purposes (“Purpose”). The Receiving Party agrees to maintain the confidentiality of such information under the terms of this Agreement.
2. DEFINITION OF CONFIDENTIAL INFORMATION
“Confidential Information” means any non-public information disclosed by the Disclosing Party, whether oral, written, or electronic, including but not limited to business data, processes, technology, financial details, software, intellectual property, trade secrets, pricing, strategies, or client information.
3. OBLIGATIONS OF THE RECEIVING PARTY
The Receiving Party shall:
- Maintain all Confidential Information in strict confidence;
- Not disclose, copy, or use any Confidential Information except as required for the Purpose;
- Ensure that representatives accessing such information are bound by confidentiality obligations no less strict than those herein;
- Immediately notify the Disclosing Party in case of any unauthorized disclosure; and
- Not reuse, distribute, or share company code, software, intellectual property, or login credentials with external parties. Violation of this clause may result in both civil and criminal liabilities, including penalties and prosecution as per the laws of Nepal.
4. EXCLUSIONS
Confidential Information does not include information that: (a) is or becomes public through no fault of the Receiving Party; (b) was lawfully in possession of the Receiving Party before disclosure; (c) is lawfully disclosed by a third party; or (d) is required by law to be disclosed (with prior notice to the Disclosing Party, where possible).
5. RETURN OR DESTRUCTION
Upon request or termination of employment, the Receiving Party shall return or destroy all Confidential Information and confirm such destruction in writing.
6. NO LICENSE OR RIGHTS
Nothing in this Agreement grants any license or ownership rights to the Receiving Party. All Confidential Information remains the exclusive property of the Disclosing Party.
7. DURATION
This Agreement shall remain effective for 6 months from the Effective Date and shall survive the termination of employment.
8. REMEDIES
The Parties agree that a breach of this Agreement may cause irreparable harm for which monetary damages are inadequate. The Disclosing Party may seek injunctive or equitable relief, in addition to any other remedies available under law.
9. GOVERNING LAW
This Agreement shall be governed by the laws of Nepal, and any disputes shall be subject to the exclusive jurisdiction of the courts in Kathmandu.

EMPLOYMENT AGREEMENT
This Employment Agreement (“Agreement”) is entered into on this 12th day of January, 2026, between:
Peridot Private Limited, having its registered office at Pulchowk, Kathmandu, Nepal (“Company”); AND Ram Bahadur, residing at Kirtipur-9, Kathmandu (“Employee”).
1. POSITION AND TERM
The Company hereby employs the Employee as Software Engineer, commencing on 12th day of January, 2026 and continuing until terminated in accordance with this Agreement.
The Employee’s position, duties, and reporting supervisor shall be determined by the Company as per internal policy.
2. WORKING HOURS
The Employee shall work in accordance with the working hours defined by the Company’s policy. The Company reserves the right to modify working hours as necessary. Failure to comply with designated working hours or schedule changes without valid reason or approval may result in disciplinary action.
3. DUTIES AND RESPONSIBILITIES
- Faithfully perform all assigned duties as directed by the Company;
- Devote full working time to the Company’s business;
- Follow all company policies, rules, and procedures;
- Maintain professionalism and confidentiality at all times; and
- Participate in daily stand-up meetings unless otherwise instructed.
4. COMPENSATION AND BENEFITS
The Employee shall receive a monthly salary a total of 25,000
5. LEAVE POLICY
Employees are entitled to leave as per company policy. All leave requests must be approved in advance by the supervisor. If an employee requires leave on the same day, they must inform and obtain approval from their immediate supervisor before leaving. Unapproved absences may lead to disciplinary action or salary deduction.
6. WORK FROM HOME POLICY
Work From Home (WFH) may be allowed only with prior approval. Employees must request WFH at least 3–4 days in advance, except in emergencies officially recognized by the Company. Reasons such as electricity or internet issues shall not be accepted as grounds for WFH. Employees must remain fully available and responsive during office hours while working remotely.
7. CODE OF CONDUCT
Employees must maintain professionalism, punctuality, and integrity. The following are strictly prohibited and may result in disciplinary action or termination:
- Code leakage, reuse, or sharing credentials with outsiders;
- Disrespectful or harassing behavior;
- Unauthorized absence or negligence of duty;
- Working with the clients directly on other project except company project without approval
- Misuse or damage of company property (any damages must be compensated by the employee);
- Violation of confidentiality obligations; and
- Joining or working with any stock market or finance-related company within 3 months of leaving Peridot Private Limited.
8. NON-COMPETE AND CONFIDENTIALITY
The Employee agrees not to engage in any competing business or disclose confidential information during or after employment. All intellectual property and work products created during employment shall remain the exclusive property of the Company.
9. TERMINATION AND NOTICE
Either Party may terminate this Agreement by giving a thirty (30) day written notice. The Company may terminate immediately in cases of misconduct, breach, or gross negligence. Upon termination, the Employee must return all company property, including documents, devices, and access credentials.
10. ACKNOWLEDGEMENT OF COMPANY POLICY
By signing this Agreement, the Employee acknowledges that they have read and understood all Company policies, including attendance, leave, conduct, and work-from-home guidelines, and agree to comply with them fully.
11. GOVERNING LAW
This Agreement shall be governed by the laws of Nepal, and the courts of Kathmandu shall have exclusive jurisdiction over any disputes arising from this Agreement.
